Introduction

Introduction Starting a business in Malaysia is an exciting venture — but before you open your doors (online or physical), you need to register your business legally. The business registration is handled by SSM (Suruhanjaya Syarikat Malaysia, or Companies Commission of Malaysia). This guide will walk you through the steps to register a business (sole proprietorship, partnership, LLP, or company) under SSM, what you need, fees, timelines, and post-registration compliance.

Why Register with SSM?

• Legal recognition: Your business becomes legally recognized to operate in Malaysia.
• Access to financing, grants, and formal contracts.
• Name protection: prevents others from registering the same name (within limitations).
• Credibility: customers, suppliers, banks trust registered businesses.
• Compliance: Operating without registration under the Registration of Businesses Act 1956 is punishable by a fine of up to RM50,000 or imprisonment for up to 2 years, or both.

1. Choose Business Structure

Choosing the right legal structure is critical for liability, taxation, compliance, and growth. Here are the main types:

  • Sole Proprietorship – owned by one person, simplest form, but unlimited liability.
  • Partnership – two or more partners, flexible management, partners jointly liable.
  • Limited Liability Partnership (LLP) – hybrid with liability protection, governed by LLP Act 2012.
  • Private Company (Sdn. Bhd.) – separate legal entity, limited liability, minimum one director and one shareholder.
  • Public Company (Bhd.) – suitable for large ventures, can list shares publicly.
  • Foreign Company – for overseas businesses opening a branch in Malaysia.

2. Name Search & Approval

Before registering, you must pick a business name and get it approved.

  1. Decide whether to use personal name or trade / business name
    • Sole proprietorships may register under their own identity name (MyKad name) – cheaper fee.
    • Otherwise, you choose a distinct trade name.
  2. Conduct name availability search via SSM / portal
    • Use EzBiz (for sole proprietorships/partnerships) or MyCoID (for companies), both accessible via the SSM4U portal.
    • The proposed name must not be identical or too similar to an existing business/company, or violate naming rules (e.g. no misleading terms, no restricted words).
  3. Name reservation / approval
    • Through MyCoID, a company name is reserved for 30 days; extensions may be applied for up to 150 days (subject to SSM approval).
    • If rejected, you’ll need to propose alternate names.

3. Prepare Required Documents & Information

Once your name is reserved, you must assemble the necessary documents and information for registration.

For Sole Proprietorship / Partnership (via EzBiz):

  • Copy of MyKad / IC (or passport for non-citizens, if allowed) for owner(s) / partner(s)
  • Business address (principal place of business)
  • Commencement date of business
  • Nature of business / activity (industry codes)
  • Copy of partnership agreement (if partnership)
  • Permits / approval letters if your business activity requires regulatory approval (e.g. childcare, food, education)

For Sdn. Bhd. / Company (via MyCoID):

  • Identification (IC / passport) of shareholder(s) and director(s)
  • Director information: residential address, nationality, date of birth, etc.
  • Company Secretary details (must be a qualified person)
  • Registered office address (must be in Malaysia)
  • Shareholders’ information, share capital, share allocation
  • Constitution or Memorandum & Articles (optional in some cases under Companies Act 2016)
  • Statutory declarations, declarations of compliance, etc. (as required under Companies Act)
  • Approval / permit letters if industry regulated

4. Register (Online via Portal or at SSM Counter)

You have two main modes: online registration or walk-in / counter registration.

Online via Portals (preferred method)

  1. Register / create an SSM4U account
    • Fill in your personal details, verify email, and possibly verify your identity via upload or physical visit.
  2. Activate your account to access sub-portals like EzBiz, MyCoID, and MyLLP.
  3. Select “New Business / New Company Registration”
    • For sole proprietorship / partnership: use EzBiz
    • For companies: use MyCoID
    • For LLP: use MyLLP portal via SSM4U
  4. Fill in the application (Form A for business, or Superform for company)
    • Input all required details and upload scanned documents.
  5. Submit the application and pay fees online.
  6. Track status in your portal dashboard. You’ll be notified of approval, rejection, or requests for further documents.

Counter / Walk-In Registration

  • Visit the nearest SSM branch and bring all required documents and forms.
  • For partnerships, all partners often need to be present for signing.
  • SSM staff will guide name approval, form completion, and payment.
  • For sole proprietorships/partnerships via EzBiz or counter service, if documents are complete and payment is made, the certificate is often issued within 1 hour; SSM’s service charter guarantees processing within 1 working day.

5. Pay Registration Fees & Obtain Certificate

Fee Structure (as of latest SSM guideline)

  • Sole proprietorship / partnership using a trade name: RM 60 per year (valid for 1–5 years)
  • Sole proprietorship under personal name: RM 30 per year (valid for 1–5 years)
  • Branches (if applicable): RM 5 per branch
  • Business Information / additional fee: RM 10 (for certain info services)
  • Companies: incorporation fees vary depending on share capital and other factors (refer to SSM’s current schedule)

Once payment is confirmed, you will receive the Certificate of Registration (for sole proprietorship / partnership) or Certificate of Incorporation (for companies).

For sole proprietorship and partnership registrations, the certificate can often be issued within one hour if everything is in order.

Estimated Time & Common Pitfalls

Processing Time Estimates

  • For business registration (sole proprietorship / partnership) with complete documents: typically 1 to 3 working days, sometimes faster.
  • For companies: may take 5–14 working days or more, depending on complexity, approval process, or document issues.

Common Pitfalls to Avoid

  • Submitting incomplete or incorrect documents (e.g., blurry scans, missing forms)
  • Proposed name rejected due to similarity or prohibited terms
  • Missing regulatory approvals or licenses for regulated activities
  • Delays in SSM account activation or verification
  • Failing to renew business registration on time
  • Forgetting to update changes (e.g., business address, partners)

Conclusion

Registering a business via SSM in Malaysia is not overly complex—especially if you follow the structured steps, prepare correctly, and use the online portals (SSM4U, EzBiz, MyCoID, MyLLP). Choose the right business structure, get your name approved, submit accurate documents, pay fees, and remain compliant thereafter.
